MEMORANDUM OF ASSOCIATION: The Company's name is Flinfactory Limited. The Company's registered office is to be situated in England and Wales. The Company's objects are: (A) To carry on business as a general commercial company. (B) To carry on any other trade or business which, in the opinion of the Board of Directors, is advantageous to the Company and to do all other things as are incidental or conducive to the attainment of the objects of the Company. The Company is authorised to establish branches outside the territory of the United Kingdom. The liability of the members is limited. The Company's share capital is divided into 100 shares. The members or the Directors may allot and dispose of or grant options over shares at such times, on such terms and in such manner as they think fit. Shares may be issued at par or at a premium, but no shares shall be issued at a discount.

Der aktuelle Geschaeftsgegenstand der Gesellschaft ist: (A) Abwicklung von Geschaeften als allgemein kommerzielles Unternehmen. (B) Abwicklung von anderen Geschaeftstaetigkeiten oder Handlungen, die von den Geschaeftsfuehrern und/oder der Gesellschafterversammlung als fuer die Gesellschaft als vorteilhaft erachtet werden, und jedwede andere Massnahmen, die direkt oder indirekt der Realisierung der Ziele und dem Vorteil der Gesellschaft dienen. Die Gesellschaft ist berechtigt, Zweigniederlassungen ausserhalb des Vereinigten Koenigreiches zu gruenden. Die Haftung der Gesellschafter ist begrenzt. Anzahl der sich im Umlauf befindlichlichen Geschaeftsanteile der Gesellschaft: 100 Stueck. Die Geschaeftsfuehrer & Gesellschafter koennen Gesellschaftsanteile ausgeben, veraeussern oder Optionen auf sie erteilen. Gesellschaftsanteile koennen zum Nominalwert oder zu einem hoeheren Wert, jedoch keinesfalls unter Wert ausgegeben werden.
